Dreams sells its Peruvian subsidiaries to Spanish firm Cirsa Enterprises for $18 million

(Chile).- Dreams S.A. announced that its Peruvian subsidiaries signed an agreement to sell all their shares in three casino-operating companies. The buyer is Gaming and Services S.A.C., a subsidiary of Spain’s Cirsa Enterprises. The casinos involved are located in Lima and Cusco, Peru.
Dreams S.A. announced as a material fact that yesterday the company caused its Peruvian subsidiaries Dreams Corporation S.A.C., Inversiones y Casinos Primavera S.A.C., and Dreams Gaming S.A.C. (sellers) to enter into a share purchase agreement, pursuant to which it agreed to sell to Gaming and Services S.A.C., the Peruvian subsidiary of the Spanish company Cirsa Enterprises SA, all of the shares owned by the sellers in the companies Sun Nippon Company S.A.C., Recreativos El Galeón S.A.C., and Dreams New York S.A.C., which operate the so-called Casino New York, located in Magdalena del Mar, Lima; Casino Luxor, located in Surco, Lima; Casino Pachanga, located in San Borja, Lima; and Casino Mystic, located in Cusco, all in the Republic of Peru.
The execution of the sale and the subsequent transfer of the shares owned by the sellers issued by the target companies has been subject to certain conditions precedent customary for this type of transaction, including regulatory authorizations in the Republic of Peru.
The purchase price amounts to approximately USD 18.0 million in Peruvian soles, a price that may vary due to the application of the adjustments stipulated in the sale and purchase agreement. "The execution of the sale is estimated to have an immaterial effect on the consolidated net income of Dreams S.A. in 2025 and will lead to the deconsolidation of the Target Companies, which will cease to be subsidiaries of the Company," the company stated.
