The Stars Group Announces Launch of Private Offering of $750 million of Unsecured Senior Notes

(Toronto).- The Stars Group Inc. announced today the offering by Stars Group Holdings B.V. and Stars Group (US) Co-Borrower, LLC (the "Issuers"), its indirect wholly-owned subsidiaries, of $750 million aggregate principal amount of unsecured senior notes due 2026 (the "Offering").
The Stars Group intends to use the net proceeds from the Offering, together with the Company's previously announced equity offering, bank financing and cash on hand to fund the previously announced acquisition of Sky Betting & Gaming.
The notes will be offered and sold in the United States only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States in reliance on Regulation S under the Securities Act.
The offer and sale of the notes will not be registered under the Securities Act and the notes may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
